Welcome to the Canadian Choice Award (the “Award”)! We are excited to have you participate in our competition that aims to recognize and celebrate the best businesses in Canada. This Terms and Conditions document (the “Terms”) governs your access to and use of our website (the “Website”) and your participation in the Award. By participating in the Award, using the Website, or interacting with us in any manner, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use our Website, participate in the Award, or interact with us in any way.

Product Definition and Attributes

The Canadian Choice Award is a prestigious competition that aims to:

  • Recognize outstanding businesses for their achievements and excellence
  • Encourage a spirit of healthy competition among Canadian businesses
  • Provide valuable insights and feedback from the public and industry experts

By participating in the Award and following the rules set forth in these Terms, you have the opportunity to showcase your business to potential customers, receive recognition for your achievements, and gain a competitive edge in your industry.

Website Usage Policy

These Terms apply to any use of the Website, including but not limited to:

  • Registering or subscribing to any services
  • Submitting a nomination or entry for the Award
  • Viewing, downloading, or sharing content

When using our Website, you agree not to:

  • Access or use the Website for any unlawful or fraudulent purpose
    Interfere with or disrupt the proper working of the Website, our systems, or other users
  • Harvest, collect, or store any data or personal information from users of the Website without their express consent (this includes, but is not limited to, email addresses, names, and other contact information)
  • Canadian Choice Award shall use commercially reasonable efforts to maintain the security of the Services and the security and privacy of Customer Data in accordance with Canadian Choice Award’s Data Processing. Canadian Choice Award is not responsible to Customer for unauthorized access to Customer Data or the unauthorized use of the Services except to the extent that such access is due to Canadian Choice Award’s negligence or willful misconduct

Eligibility Criteria

The Canadian Choice Award is open to all businesses legally operating in Canada. Entrants must be 18 years or older at the time of entry. We do not accept entries from any businesses that violate Canadian law, our ethical guidelines, or these Terms.

Registration and Account Integrity

Your registration and participation in the Award process require the creation of an account. You must provide accurate and current information about yourself and your business. You are responsible for maintaining the confidentiality of your account information and for all activities under your account. Any suspected fraudulent activity should be reported to us immediately. We reserve the right to suspend or terminate your account at any time if we suspect any fraudulent or unethical behavior.

Privacy Policy Integration

Your privacy is our priority. As such, our data collection and usage policies are detailed in our Privacy Policy. By participating in the Award, you agree to the terms of our Privacy Policy. We may use the information collected from you to improve our services, communicate with you about the Award, and deliver relevant content and advertisements.

Intellectual Property and Usage Rights

We respect intellectual property rights. Any submitted content remains the property of the entrant. However, by participating, you grant us a non-exclusive, worldwide, royalty-free license to use your business name, logo, and submitted content for promotional purposes. We reserve the right to disqualify any entry that violates the intellectual property rights of others. You may not use our name, logo, or any other intellectual property without our prior written consent.

Conduct and Compliance

We expect all participants to conduct themselves in a lawful and ethical manner. Any violations of these Terms, including fraudulent behavior or actions that harm the integrity of the Award, may result in disqualification and legal action. We reserve the right to amend or modify these Terms at any time without prior notice.

Contributions and Submissions

All submissions must be original work and not infringe on any copyright or intellectual property rights. By submitting content, you confirm that you have all necessary rights and permissions to do so. We are not responsible for any third-party content submitted through our Website.

Awards and Recognition

Recipients of the Canadian Choice Award are selected based on their achievements and positive contributions to their industry. The judges’ decision is final and irrevocable, except in cases of cheating or fraudulent behavior which may lead to disqualification. Winners will be recognized on our Website, social media platforms, and may receive a physical award or other prizes.

Commercial Use Restrictions

Ownership and licensing of the Products and Services: As between the parties, Canadian Choice Award retains all right, title, and interest in and to the Products, including any enhancements, updates and upgrades to such Products, and all products, works, and other intellectual property and moral rights related to the Products or created, used, or provided by Canadian Choice Award for the purposes of this Agreement No rights or licenses are granted except as explicitly set forth in this Agreement.

Subject to Customer’s compliance with the terms and conditions of this Agreement, Canadian Choice Award hereby does not grant any customer during the Term to the use of Canadian Choice Award Materials in connection with and necessary for the Customer’s use of the Services and Products, solely in accordance with the terms and conditions of the Agreement.

Indemnification

Customer shall defend Canadian Choice Award, its affiliates and each of its and its affiliates’ employees, contractors, directors, suppliers and representatives from and indemnify them for all liabilities, claims, and expenses paid or payable (including reasonable attorneys’ fees) that have been finally awarded by a court of competent jurisdiction or as part of an approved settlement (“Losses”), arising from
(i) Customer’s use of the Services in a manner not authorized in this Agreement and/or in violation of the the Acceptable Use Policy and/or applicable law any claim that
(ii) the Customer Data, including but not limited to any claim involving infringement or misappropriation of third-party rights.

Canadian Choice Award will defend Customer, its affiliate and each of its affiliates’ employees, contractors, directors, suppliers and representatives from and indemnify them for Losses arising from a third-party claim that the Services or any Products infringe or misappropriate a third-party’s intellectual property rights in the United States or Canada. The foregoing obligations of Canadian Choice Award do not apply with respect to the Services or Products to the extent (i) not created or provided by Canadian Choice Award (ii) combined with other produces, processes or materials not provided by Canadian Choice Award (iii) modified after delivery by Canadian Choice Award ; (iv) where Customer continues using the allegedly infringing Service or Product after being notified thereof or after being informed of modifications that would have avoided the alleged infringement, or (v) Customer’s use of the Services is not strictly in accordance with this Agreement.

Each indemnifying party’s indemnification obligations under this Agreement is conditioned upon the indemnified party providing the indemnifying party with: (i) prompt written notice of any claim (provided that a failure to provide such notice shall only relieve the indemnifying party of its indemnity obligations it is materially prejudiced by such failure); (ii) the option to assume sole control over the defense and settlement of any claim (provided that the indemnified party may participate in such defense and settlement at its own expense); and (iii) reasonable information and assistance in connection with such defense and settlement (at the indemnifying party’s expense).

Modifications to the Award

We reserve the right to modify or cancel the Canadian Choice Award at any time, without notice, for any reason. In such cases, we will make reasonable efforts to notify all participants and honor any awards or recognition already announced. We are not responsible for any losses or damages incurred as a result of modifications or cancellations.

Compliance and Privacy Policy

We are committed to protecting your privacy and the personal information that you provide us. Our Privacy Policy describes how we collect, store, and use your personal data and how we comply with the Data Protection. By using the Website and participating in the Award, you agree to the terms of our Privacy Policy.

Disclaimers and Limitations of Liability

To the extent permitted by law, we exclude all warranties regarding the Website, its content, and the Award, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We will not be liable for any direct, indirect, special, consequential, or incidental damages arising out of or in connection with your use of the Website, participation in the Award, or reliance on any information provided on the Website.
In the event that any limitation or exclusion of liability is not enforceable, our maximum liability to you for any and all claims will be limited to the amount paid by you, if any, for using the Website or participating in the Award.

Modification and Termination

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website or participation in the Award after any modifications will constitute your acceptance of the updated Terms.
We also reserve the right to terminate or suspend your access to the Website and/or your participation in the Award at any time, without notice, for any reason, including but not limited to a breach of these Terms.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Canada. Any dispute arising out of or relating to these Terms, the Website, or the Award will be subject to the exclusive jurisdiction of the courts of Canada.

Entire Agreement

These Terms constitute the entire agreement between you and Canadian Choice Award regarding your use of our Website and participation in the Award. Any failure by us to enforce any right or provision of these Terms will not be considered a waiver of those rights.

  • We would like to remind all participants that the content submitted for nominations and entries must be original work and not infringe on any copyright or intellectual property rights. By submitting your content, you confirm that you have all necessary rights and permissions to do so.
  • The decision of the judges is final and cannot be appealed. However, if there is evidence of cheating or fraudulent behavior, we reserve the right to disqualify any nominee or winner.
  • By participating in the Award, you agree to allow Canadian Choice Award and affiliated partners to use your business name, logo, and submitted content for promotional purposes. We will always credit you as the owner of the material.
